From the owner of the Greensboro Marriott Downtown on the Impact of the Wyndham Downtown Hotel

"As the owner of the Greensboro Marriott Downtown, I would like to express my objections to the City of Greensboro, committing public dollars to a private development that will affect my business adversely.

Outlined below are my concerns:

Did Greensboro's City Council just eliminate 30 jobs
to create what may or may not be 169?

* Curtail future renovation plans as funds will not be available
* Put the business in a tight situation as it relates to debt service

Did Greensboro's City Council
put the Downtown Marriott in jeopardy of a debt default
to benefit some of their campaign contributors?

We purchased the hotel in and with extensive capital.

I gave Greensboro a first class downtown hotel with a well-respected brand.

Over the years we have continued to upgrade the hotel, most recently putting 1.5 million
in 2013 to a lobby, lounge and restaurant renovation.

We are not against new development when it makes sense, but in a market that runs well
below the national average, does it make sense?

The city would be well served if they had and independent study that confirmed the proposed hotels projections and the impact the proposed hotel will have on its competitors.


My understanding is there was not an independent study created 
not paid for by the developers, 
that stated the Wyndham would be feasible.

We would be happy to fund this using and agreed upon consultant.

Greensboro's City Council picked a local crony
who, along with friends, family and GPAC supporters
funded a great deal of 2013's election,
to unfairly compete with a relatively unconnected business owner down the street.

Greensboro's City Council picked Randall Kaplan and friends
to put the Downtown Marriott out of business, 
without bothering to find out what the impact would be before doing so.

Greensboro's City Council violated the idea of free enterprise,  
by altering what should be an even playing field to benefit a select few
who put many of them in power.

"...the CFGG on behalf of the Private Donors will have to obtain financing to cover their share of the design and construction costs for the Tanger Center.

It is understood that both the City and the Private Donors may need to use a portion of the Tanger Center as collateral for that financing.

It looks like the Community Foundation
is transferring the risk of donor default to a non profit 
with no means to guarantee any shortfalls to the lender
making the city the guarantor of the donor money, 
including the interest on the financing.

The CFGG doesn't even actually have $5 million yet.

It is agreed that the ownership of the Tanger Center will vest in the City once the financing repayment obligations of the Private Donors [Not the CFGG] are satisfied, which is expected to occur no later than 10 years after the opening of the Tanger Center..."

If there is a shortfall of donor commitments, my reading of the contract says City of Greensboro taxpayers will be on the hook for the money, or the bank takes the property.

I believe City Taxpayers are guaranteeing the donor commitments and the loan, which could/probably will cost more than the city's $30 million stated investment.

It could cost $1 million, or it could cost $10 million or more.

If the private donors can't make an interest payment, City taxpayers will make up the difference, or the lender takes the property.

I believe the private donors need the center as collateral, because otherwise, they would not be in a position to guarantee the money.  The contract appears to imply that city is guaranteeing the donor money and interest on the loan.

No one at the city to my knowledge has seen where the money actually is.

To my knowledge, no one at the city knows what the money is invested in, and now the CFGG is saying they can handle the interest payments, with no skin in the game other than their reputation.

Last I heard from the city, the Community Foundation has not supplied the city with the binding commitment agreements.

If the city commits to make up any shortfalls, without knowing where the money is and what it's invested in, without seeing how the CFGG is going to come up with the interest payments, without reviewing the projections of returns on the assets to pay over the time frame, the city will have done a great disservice to our community.

If the city is going to be on the hook for the donor commitments and interest on the loan the Community Foundation sets up, the city's finance department needs to underwrite the deal, and be aware of the financial information, or be accused of dereliction of duty, which seems to be a trend lately.

During the next 50 years, if the City of Greensboro gets another Robbie Perkins like administration, a $65 million facility could be transferred to the non profit by City Council, the non profit, of which could be/have to be dominated by cronies of the City Council and the Community Foundation, could vote to cease to exist, leaving the Community Foundation a $65 million facility that it used $35 million of other people's money to acquire.

The Community Foundation could be acquired by a larger foundation, or a trust company.

If the facility is funneled to the Community Foundation, they could sell it, and charge ongoing fees as the money is invested.

If the Community Foundation owns it, any profits go to the Community Foundation tax free.

The Community Foundation could then begin paying board members salaries and increasing the compensation of Foundation employees.

I believe members of the Community Foundation who are advocating for this language have a direct financial interest in the terms.

All of the above is contained under "Miscellaneous" in the Contract.



All it would take is five of nine City Council votes and seven of thirteen non profit votes to transfer $65,000,000 and future revenue streams of other people's money to the Community Foundation tax free.

The Community Foundation appears set on taxpayers picking up any donor shortfall on tens of millions of debt.

If the Community Foundation defaults, the lender could acquire the property if the city doesn't cover the shortfalls.

For Greensboro's City Council to agree with these terms would be fiduciary malpractice, in my view.

"Another sticking point is that for a maximum of 10 years the Community Foundation will own part of the performing arts center.

The reason is that the Community Foundation is going to borrow $30 million that it will receive in pledges and donate that money to the performing arts center.

My understanding of the deal 
is that the Community Foundation isn't going to borrow anything,
but is going to set up a loan collateralized with the facility and attributed to the non profit, 
backed by the City of Greensboro for any shortfalls.

So the city will have all of its money up front and then collecting the pledges to pay back the loan is the concern of the Community Foundation, not the city.

My understanding of the deal 
is if the City's property is connected to the loan,
the City is responsible for any pledges or interest the donors don't actually come up with.

Wilkins had expressed a lot of concern about the city being left holding the bag if some of the pledges didn’t come through, so that problem goes away.

I believe John Hammer's assertion about whether or not the city is left holding the bag
is incorrect.

...The key seems to be that the city will own the performing arts center and a nonprofit made up of donors and councilmembers and others will be formed to help run it.

I think the key is not informing the public of the actual deal
which looks like it forces the City to make up for any donor and construction shortfalls
to the financial benefit of John Hammer's boss.

Vaughan said that after negotiating for months, she, Sanders, Manning and City Manager Jim Westmoreland could not do much more. She said they were all negotiated out, but it appears that they have brought an agreement to the City Council that it can approve.

I respectfully disagree.

The council seemed to accept the overall concept of the performing arts center with a nonprofit board giving advice and making sure that it is well run and maintained."

On GPAC; To whom it may concern, please confirm, criticize, question or deny the following before Monday, March 3, 2014's Yes Weekly's 10am deadline for next Wednesday's Hartzman column;

Greensboro’s taxpayers will be liable for shortfalls of donor commitments.

Greensboro’s taxpayers may pay more than the $30 million City Council authorized for the performing arts center.

If the City of Greensboro doesn't cover shortfalls of the private sector pledges with more than the $30 million the City has already committed, the lender or lenders can foreclose on and acquire the performing arts center.

The City of Greensboro is not in possession of legally binding donor commitments on about $35,448,920 of privately pledged assets.

The City of Greensboro doesn't know where the $35,448,920 is actually located.

The City of Greensboro doesn't know what the $35,448,920 is invested in.

The City of Greensboro doesn't have a detailed time line showing how much of the $35,448,920 is supposed to appear when over a 10 year time span.

The City of Greensboro doesn't know what would happen to the $35,448,920 if financial markets fall 20%, or 30% within the five years following the project’s approval.

The City of Greensboro doesn't know what would happen to the $35,448,920 if interest rates rise even more from their historically relatively very low levels within the five years following the project’s approval.

The City of Greensboro is unaware of the statistical likelihood that the $35,448,920 in pledges will or won't appear.

At the Council work session on Tuesday, February 25th, the Greensboro Community Foundation’s (CFGG) Walker Sanders’ said that less than $5 million of the pledged assets are currently within the foundation’s control and is ready to be allocated to the project.

The CFGG and City of Greensboro's financing mechanism attaches what would be a jointly owned GPAC between the City and a non profit without assets other than the property which would be used as collateral to obtain a loan to pay for construction costs before the pledges actually appear.

The CFGG will have no financial commitment to the project, yet stands to aquire the entire project without risk or taxes as detailed in item G4 of the Memorandum of Understanding At the Council work session on Tuesday, February 25th.

The City of Greensboro does not know how the CFGG is going to supply the loan interest payments for the financing.

The City of Greensboro's finance department has not underwritten, reviewed or signed off on the legally binding donor commitments, the potential taxpayer liability above the $30 million City Council authorized for the performing arts center, the private sector lending agreement, a time line of how much of the $35,448,920 is supposed to appear and when, the statistical likelihood of how much of the $35,448,920 in pledges may or may not appear or hypothetical asset return projections concerning the $35,448,920 in private pledges.

If I don't hear back, I will assume all of the above is correct.

From the GPAC Tanger Center MEMORANDUM OF UNDERSTANDING to be discussed at tomorrow's Greensboro City Council Work Session

"The Private Donors will provide $35 million for the design and construction of the Tanger Center. Those funds will be secured through a bank financing commitment (the “Donor Loan Commitment”) and cash collections of written pledges and grant awards.

Funds of up to $5 million to pay pre-construction amounts due under the design contracts will be transferred to the City as those contract payments become due, subject to obtaining the Donor Loan Commitment...

...The City will provide $30 million for the land, design and construction of the Tanger Center.

Hasn't the city already provided more than $11 million?

The City will pay its portion of the design and construction costs after the Donor Loan Commitment has been obtained...

...the CFGG on behalf of the Private Donors will have to obtain financing to cover their share of the design and construction costs for the Tanger Center.

If the donors are going to "provide" $35 million with a loan,
with who's money are they going to pay how much interest over 10 years?

It is understood that both the City and the Private Donors may need to use a portion of the Tanger Center as collateral for that financing.

It is agreed that the ownership of the Tanger Center will vest in the City once the financing repayment obligations of the Private Donors are satisfied, which is expected to occur no later than 10 years after the opening of the Tanger Center..."

Despite the fact that Lomax has long scammed the taxpayers to fund his own development and construction businesses, many downtown business owners see no benefit to being forced to pay the BID tax and residents outside of downtown have long opposed being taxed to subsidize a handful of downtown business owners who just happen to be very well connected politically.

Why is an executive committee of only 5 members
authorized to decide on the allocation of large sums of monies to old board and current board members
bypassing the approval of the larger 20 + member board?

Something is very wrong at DGI.

Sounds like Eric was told not to blog/bad mouth/observe prior restraint about DGI matters,
as long as he could have a say at meetings.

Sounds like Eric tried to debate allocations of DGI monies to Betty Cone and Grassroots, 
decided by the highly connected executive committee behind closed doors
and Al Leonard and those who knew how to play who objected to an open debate
used procedural methods to violate the agreement with Eric
with a substitute motion to end the debate.

I hear immediately after, Al walked out of the meeting before its conclusion.

The problems with DGI haven't been fixed.

DGI is providing Greensboro taxpayer monies to a for profit company
not paying Greensboro privilege taxes.

DGI is funding Grassroots productions without input from all of DGI's board members.

Same thing as before, only different.

The museum appears to have defaulted on the loan to Carolina Bank, again.

"Borrower will assign to the City a security interest" appears to mean the loan wasn't collateralized with anything of value when the money was paid, when the audit was late, when the audit was late again, when the sustainability plan was late, and when the contract was signed on February 14, 2014.

In my view, Skip Alston and Earl Jones are still in control of the museum via Deena Hayes.

I believe Skip and Earl need to legally step away from any controlling interest in the museum, a different Chairperson should be installed, and a complete review of the tax credit structure should be completed by someone other than the City's attorney.

I think the City needs to figure out what debts are related to saving the museum, and which are not.

I think the City attorney needs to go, as taxpayer monies were distributed without a collateralized recourse in violation of the City attorney's fiduciary responsibilities to Council and residents of our community, and as he allowed Yvonne Johnson to advocate for and vote on the loan.

I believe the board and managers of the museum should step down, the city purchase the property and its contents for $1, and the loans not tied to saving the facility or its contents left in default and the responsibility of the Sit In Movement, which is Skip Alston and Earl Jones etc...

I believe Yvonne Johnson should immediately refrain from any involvement and/or votes concerning the museum or its future;
